Terms of Service

1. Acceptance of Terms

By registering for or using the Buystocklot marketplace ("Platform"), you agree to these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy. These Terms constitute a legally binding agreement between you and Buystocklot FZC ("we", "us", "Company").

2. Platform Description

Buystocklot is a B2B (business-to-business) wholesale marketplace that connects sellers of surplus, closeout, and wholesale inventory with buyers. We provide the technology and communication infrastructure — we are not a party to any transaction between buyers and sellers and do not hold inventory.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted access. Your use of the Platform is at your sole risk.

3. User Accounts

• You must be at least 18 years old and operating as a business entity to register.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate, current, and complete information during registration.
• You may not create multiple accounts or use the platform on behalf of another without authorization.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• We may suspend or terminate any account at any time, with or without notice, at our sole discretion, for any reason or no reason.

While Buystocklot may offer optional seller verification services (such as identity or business verification badges), we do not independently guarantee or warrant the identity, legitimacy, creditworthiness, or credentials of any user. All users should conduct their own due diligence before entering into any transaction.

We reserve the right to refuse registration or deactivate any account at our discretion, including but not limited to the following grounds:

• Providing false, inaccurate, or misleading information during registration
• Doubts about the legal existence or legitimacy of a business
• Suspicion of fraudulent, deceptive, or bad-faith conduct
• Prior violations of these Terms or abuse of the platform
• Activity that undermines the integrity or security of the marketplace

4. Seller Obligations

As a seller on Buystocklot, you agree to:

• Provide accurate and complete descriptions of all listed inventory.
• Only list goods that you legally own or have the right to sell.
• Respond promptly to buyer inquiries (within 48 business hours).
• Honor prices and conditions stated in your listings.
• Complete sales you have agreed to with buyers.
• Comply with all applicable export/import regulations for cross-border trade.
• Not misrepresent the condition, origin, or authenticity of goods.

5. Buyer Obligations

As a buyer on Buystocklot, you agree to:

• Only submit serious purchase inquiries for goods you intend to buy.
• Conduct your own due diligence on sellers and products before completing a transaction.
• Honor commitments made to sellers through the platform messaging system.
• Comply with applicable import regulations and customs requirements in your country.
• Not abuse the messaging system for spam, solicitation, or off-platform diversion.

6. Listing Rules

All listings must:

• Describe actual, physical inventory that is available for sale.
• Include accurate pricing in a recognized currency.
• Use only original or properly licensed images.
• Be categorized correctly.
• Not duplicate existing active listings for the same stock.

7. Prohibited Content

The following are strictly prohibited on the Platform:

• Counterfeit, stolen, or illicitly obtained goods
• Weapons, ammunition, or controlled substances
• Goods that infringe intellectual property rights
• Items prohibited by UAE law or international sanctions
• Services (the platform is for physical goods only)
• Misleading or fraudulent listings
• Content that is obscene, defamatory, or harmful

Violation may result in immediate account termination and reporting to relevant authorities.

8. Payments & Fees

Buystocklot offers free and paid subscription plans for sellers. Subscription fees are described on our Pricing page. All fees are in USD and non-refundable unless otherwise stated or required by applicable law. No partial refunds will be issued for unused portions of a subscription period. We do not process or hold funds for transactions between buyers and sellers — all payments are arranged directly between parties.

Buystocklot does not facilitate, guarantee, or insure any payments or transactions between users. We are not responsible for payment failures, non-delivery of goods, or fraud arising from transactions between users. All transactions are conducted entirely at the sole risk of the parties involved.

Subscriptions are personal and non-transferable. You may not sell, resell, share, or transfer your account access or subscription to any other individual or company. Violation of this condition may result in immediate account termination without refund.

Buystocklot reserves the right to introduce new fee structures, transaction-based commissions, or premium service charges in the future. Users will be notified of any material changes to the fee structure at least 30 days in advance. We may also offer paid verification services, featured listings, and premium visibility options at our discretion.

Where platform fees or commissions apply, users agree not to circumvent such fees by completing transactions off-platform that were initiated through Buystocklot.

9. Intellectual Property

The Buystocklot brand, logo, platform design, and software are owned by Buystocklot FZC. You may not reproduce, modify, or distribute our content without written permission. By posting listings or content on the platform, you grant us a non-exclusive, royalty-free license to display that content for the purpose of operating the marketplace.

All third-party brand names, trademarks, and product names that appear in listings on the platform are the property of their respective owners and are used for identification and descriptive purposes only. Their appearance on Buystocklot does not imply any affiliation with or endorsement by those brand owners. For copyright infringement or trademark concerns, please refer to our Intellectual Property Policy.

10. Platform Availability

We strive to maintain continuous access to the Buystocklot platform. However, we do not guarantee uninterrupted availability and are not liable for temporary downtime due to maintenance, technical issues, or factors beyond our control. Planned or unplanned interruptions shall not exceed 5% of total availability in any calendar year. In the event of extended downtime caused by our negligence, affected users may contact us to discuss a proportional remedy at our discretion.

11. Limitation of Liability

Buystocklot is a marketplace platform and is not responsible for:

• The quality, safety, legality, or availability of listed goods
• The ability of buyers to pay or sellers to deliver
• Disputes arising from transactions between users
• Losses resulting from unauthorized access to user accounts

To the maximum extent permitted by law, our total liability to you shall not exceed the fees paid by you to Buystocklot in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Buystocklot FZC, its officers, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your use of the Platform, your listings, or your breach of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE (including the Sharjah courts having jurisdiction over entities registered in Saif Zone), unless otherwise agreed in writing by both parties.

14. Dispute Resolution & Arbitration

Buystocklot is a marketplace platform and has no obligation to intervene in, mediate, or resolve disputes between buyers and sellers. In the event of a dispute between users, we encourage direct resolution between the parties. Buystocklot may, strictly at its sole discretion, offer limited assistance but assumes no responsibility for the outcome of any user-to-user dispute and shall not be liable for any losses arising from such disputes.

For disputes with Buystocklot directly, we request that you first contact us at [email protected] to seek an amicable resolution. If the dispute cannot be resolved amicably within 30 days of written notice, it shall be finally settled by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its Arbitration Rules. The seat of arbitration shall be Dubai, United Arab Emirates. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

Nothing in this clause shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending the outcome of arbitration.

15. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or platform notification at least 14 days before they take effect. Continued use of the platform after changes constitutes acceptance of the updated Terms.

16. Reviews & Ratings

Buystocklot may offer a review and rating system to help users assess the reputation of buyers and sellers on the platform. By submitting a review, you confirm that it reflects your genuine experience and is accurate to the best of your knowledge. The following are strictly prohibited:

• Submitting false, misleading, or defamatory reviews
• Incentivizing or coercing other users to submit positive reviews
• Manipulating ratings through fake accounts or coordinated activity
• Using the review system to harass or retaliate against other users

Buystocklot reserves the right to remove any review that violates these guidelines, at our sole discretion, without notice. We do not guarantee the accuracy or reliability of user-generated reviews and are not liable for any decisions made based on them.

17. Force Majeure

Buystocklot shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, power outages, internet failures, cyberattacks, or pandemic. In such events, our obligations will be suspended for the duration of the force majeure event.

18. General Provisions

No Agency or Partnership. Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, franchise, or employment relationship between Buystocklot and any user. You have no authority to bind Buystocklot in any way.

Electronic Communications. By using the Platform, you consent to receive communications from us electronically, including via email and platform notifications. You agree that all notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and Buystocklot regarding your use of the Platform and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorized representative of Buystocklot.
